Terms and Conditions of Trade

1. Scope
These terms apply to all offers, contracts, and deliveries of SKUNDYS OHG to commercial customers worldwide. Deviating or supplementary terms of the buyer are only recognized if confirmed explicitly in writing.

2. Customer Base
Our services are exclusively intended for businesses as defined in § 14 BGB. Proof of commercial activity (e.g., by submitting a VAT ID) is required for a business relationship.

3. Offers and Conclusion of Contract
All offers are non-binding and subject to change. A purchase contract is only concluded upon our written confirmation or by executing the delivery. Product availability is updated daily and subject to change. Preorders are generally possible but non-binding.

4. Prices and Payment Terms
All prices are net ex warehouse (EXW Schwieberdingen according to Incoterms® 2020) plus statutory VAT and any handling or transaction fees. Delivery is only made against advance payment. For preorders, a deposit is required, which does not constitute a delivery guarantee. If the ordered goods are unavailable, the deposit will be refunded in full. No further claims shall apply.

5. Shipping and Collection
Goods are provided ex warehouse Schwieberdingen. Shipping can be organized by us at the buyer’s request and expense. The choice of carrier and shipping method is made in consultation. Risk transfers to the buyer upon provision of the goods (EXW Schwieberdingen). Collection by the buyer or their logistics partner is possible with prior coordination.

6. Delivery Time
Delivery times are non-binding unless explicitly confirmed in writing. The period starts at the earliest after full payment and clarification of all technical and commercial details. Force majeure, unforeseen disruptions, or delays by suppliers entitle us to extend the delivery period or withdraw from the contract.

7. Retention of Title
The delivered goods remain our property until full payment of all outstanding claims. Resale is only permitted in the ordinary course of business.

8. Notification of Defects and Liability
The buyer must inspect the goods immediately upon receipt. Complaints must be submitted in writing within 3 working days of delivery, including clear documentation. Transport damage must be reported directly to the carrier. Our liability is limited to the value of the goods and excludes consequential damages, lost profits, or indirect losses.

9. Returns
There is no general right of return. Returns are only accepted with prior written approval and solely at the buyer’s expense and risk.

10. Product Safety and Export Responsibility
The goods are intended for commercial resale. The buyer is solely responsible for complying with all relevant national and international regulations, especially in export matters.

11. Place of Performance and Jurisdiction
The place of performance for all obligations is Schwieberdingen. The place of jurisdiction – where legally permissible – is Stuttgart. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

12. Severability Clause
If any provision of these terms is or becomes invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced with a valid one that comes closest to the intended economic purpose.
